Environmental

For environmental proposals, we recommend votes in favor of proposals that propel companies to use affordable and reliable energy, and oppose those that push companies to adopt other sorts of power on activist- rather than business-dictated schedules. We oppose proposals that ask businesses to do the work of legislators, as by making decisions on the basis of politicized research of questionable scientific worth or suspect assumptions about future government behavior.

Social

For social proposals, we recommend votes in favor of proposals that seek to bind corporations to merit hiring and to non-discrimination against every group, including "non-diverse" ones. We oppose proposals that seek to foster discrimination, whether or not to achieve artificial equalities of outcome. We favor proposals that seek to move companies out of divisive social controversies far removed from their core business purposes, and oppose those that would do the reverse.

Governance

For governance proposals, we will broadly follow management's recommendations, unless the proposal seems geared toward increasing the politicized management of a business or otherwise to push it in partisan, rather than fiduciary, directions.

The NCPPR shareholder voting profile is designed to address risks faced by public companies when they unnecessarily take sides in our culture wars, undermine our democratic process by interfering with state legislatures, violate anti-discrimination laws under the guise of “diversity, equity and inclusion” (DEI), or breach their fiduciary duties by prioritizing “environmental, social and governance” (ESG) factors at the expense of shareholder value. These risks can negatively impact shareholder value.


How does it impact shareholder value?

Companies that unnecessarily take sides in our culture wars risk consumer backlash as well as losing focus on offering great products and services. The same is true of companies that undermine our democratic process by interfering with state legislatures, but such interference also risks increasing inefficient expectations that corporations can solve problems for which they lack the requisite expertise. Undermining our federal system of government risks increased societal disruption that is bad for business and the country. Meanwhile, companies that discriminate on the basis of race and other protected categories risk being sued and garnering negative attention from consumers and regulators. Finally, companies that prioritize non-pecuniary ESG factors in their decision-making risk being sued by shareholders for breach of duty, as well as being at a competitive disadvantage in the marketplace.

For many people, the increased politicization of companies is problematic on many levels, including the destruction of efficient value-creation and innovation, as well as increasing societal divisions to the detriment of all. Getting companies back to a neutral, profit-maximizing focus in line with their fiduciary duties is the solution to this problem.
