Shareholder Protections

Includes voting rules designed to enhance board accountability, limit mechanisms that may entrench current board members, protect voting rights, and support the independence of the board. This voting profile does not include voting rules relating to environmental or social issues

Examples:
  • Supports one-share-one-vote. Votes against dual-class or supervoting share structures.
  • Votes against directors on key committees who are not independent.
  • Supports auditor independence.
  • Supports the right of shareholders to nominate board members.
  • Votes against the board if they fail to implement a shareholder proposal that passed.
  • Votes against management recommendations if the company is underperforming

As You Vote ESG+

This voting profile is managed by As You Sow, the nation's leading progressive shareholder advocacy organization. ESG+ encompasses the full range of progressive proxy voting, including issues related to climate change, racial justice, ocean plastics, industrial farming, and modern slavery.

Examples:
  • Strong support for company efforts to mitigate their impacts on climate change.
  • Strong support for shareholder proposals promoting diversity, equity, and inclusion.
  • Supports robust shareholder protections, including board independence, the right of shareholders to nominate board members, and one-share-one-vote.
  • Supports gender and ethnic diversity on boards, and votes against board members who fail to nominate sufficiently diverse boards.
  • Supports data governance policies that limit sharing of personal data without consent, and promote algorithmic accountability and transparency.

Board-Aligned

Includes voting rules that follow management's recommendation on all ballot items except in circumstances where the board has failed to act when it was required to do so.

Examples:
  • Follows board recommendations on shareholder proposals, executive compensation, director nominees, and ratification of auditors.
  • Votes against board members who fail to implement a shareholder proposal that passed, or who failed to act when in possession of sensitive information presenting a risk to the company.

Fiscally Conservative

Supports voting rules focused on maximizing returns for investors. In general, votes against shareholder proposals on environmental and social issues.

Examples:
  • Votes against proposals requiring companies to achieve net zero targets.
  • Votes against proposals related to information requests on human-rights related issues.
  • Votes for proposals asking companies to examine costs and benefits associated with relocating the workforce to the United States (onshoring).
  • Defaults to following board recommendations unless the company is underperforming on a three year timeline.
  • Votes for proposals or policies at energy companies designed to return profits to shareholders through stock buybacks or dividends, rather than reinvest in renewable technologies.
  • Votes against proposals to incorporate diversity, equity, and inclusion concepts into employment practices.

Catholic Values

Incorporates investment guidelines from the US Conference of Catholic Bishops (last accessed 2/16/23).

Examples:
  • Voting rules designed to Enhance the Common Good, for example by discontinuing the sale of harmful or addictive materials or increasing disclosure of weapons sales.
  • Voting rules designed to Protect Human Dignity, for example by improving supply chain transparency, provide a living wage and decent working conditions, and offer equal opportunities to people regardless of sex, ethnicity, skin color, language, or religion.
  • Votes to support the right to life, and votes against proposals that limit that right.
  • Voting rules designed to Support our Global Common Home through conservation, mitigating impact on climate change, and avoiding negative impacts on the environment.

What brokerages does this work with?
We use Plaid to verify your investment in INDEX, so it works with every brokerage that Plaid supports. Plaid has among the broadest connectivity in the industry.
Will I be notified of votes?
Yes, according to your preferences. You can receive a notification for each vote, or only for votes that include ballot items related to your voting profile.
Can I see my past votes?
Yes! Visit the elections tab to view current and past ballots.
